Terms & Conditions

1. Introduction
These Terms and Conditions govern the use of the services offered by BD Media, hereinafter the "Agency", provided to clients, professionals, or companies (hereinafter the "Client"). Use of the services implies full acceptance of these conditions.
2. Services Offered
BD Media offers the following services: Meta Ads advertising campaign management, social media management, website creation and management, content creation (photos and videos), email marketing and automation, and digital and strategic consulting. Services are provided according to the terms and conditions defined in the commercial proposals, quotes, or specific contracts.
3. Service Activation Methods
The service is considered activated when: The Client accepts the quote or contract; The Client provides the necessary materials; Payment (advance or monthly payment) is made; BD Media receives the requested access (Business Manager, social media, hosting, etc.). BD Media is not responsible for delays caused by the Client's failure to deliver materials or access.
4. Payments and Billing
Recurring services are paid monthly in advance. One-time services require a 50% deposit and the remainder upon delivery. The client is always responsible for the campaign media budget (Meta/Google spend). Payments must be made within 24 hours of invoice issuance. Failure to pay will result in service suspension without notice.
5. Duration and Renewal
Recurring services last for a month, with automatic renewal unless the Customer cancels in writing at least 7 days before the following month.
6. Limitations and Responsibilities
BD Media is committed to providing professional services based on industry best practices. The Client agrees that: BD Media does not guarantee a minimum number of leads, sales, interactions, or specific results. Performance depends on external factors (industry, competition, season, algorithms, budget). BD Media is not responsible for malfunctions of Meta, Instagram, Facebook, third-party sites, or external hosting platforms. BD Media is not responsible for any violations of advertising regulations attributable to content provided by the Client.
7. Intellectual Property
Creative materials created by BD Media remain the property of the Agency until full payment is made. Templates, internal strategies, frameworks, and processes remain the exclusive property of BD Media. The Client receives the right to use the materials only after full payment is received.
8. Materiali e Contenuti Forniti dal Cliente
The Customer guarantees that: he/she owns the rights to the materials provided (photos, text, logos); the materials provided comply with Italian and European laws; the information is accurate, up-to-date, and truthful. BD Media declines any responsibility for improper or unauthorized use of materials provided by the Customer.
9. Privacy and Data Processing
BD Media processes personal data in compliance with the GDPR. For specific activities (e.g., lead data management, CRM integrations), a separate Data Processing Agreement (DPA) may be required.
10. Withdrawal
The Client may cancel monthly services with 7 days' notice prior to renewal. For one-time services, once the project has started, the deposit is non-refundable. If the Client terminates the project without cause attributable to BD Media, they will be required to pay for work already completed. BD Media reserves the right to terminate the service if: the Client violates the terms of the contract; there is offensive or inappropriate behavior; or there are persistent payment delays.
11. Website Maintenance
If the customer subscribes to the monthly maintenance service: Included: basic updates, minor changes and text, functionality checks, new pages, graphic changes, major site renovations, advanced SEO services. Additional changes will be quoted separately.
12. Limitations of Liability
BD Media is not responsible for: temporary crashes or drops in the Meta/Instagram/Facebook platforms; suspensions or blocks of the Client's advertising account; errors due to external hosting, servers, or plugins; data loss caused by third parties.
13. Competent Court
The Court of Bologna shall have jurisdiction over any dispute, unless otherwise agreed in writing.
14. Acceptance
By browsing the site, filling out contact forms, or requesting a service, the Customer declares that he or she has read, understood, and fully accepted these Terms and Conditions of Service.
